I have a homemade flat bottom boat made with 2x3" and plywood and fiberglassed on the outside. I want to put foam sheets between the ribs on the floor and fiberglass it to make an other floor. I just so i make a smooth floor with no ribs exposed. Question is, will the foam under the fiberglass trap mosture and make the wood rott?

I think what I would do is cut your ply wood to size and glass it (if your gonna) then just lay the faom, cut to fit between the ribs. Use some 5200 on the foam then just lay the ply down, squish it down for good contact. After it cures you will have a removable floor so it can be dried out.
